ADI is seeking an experienced lawyer as the primary Legal & Risk Optimization Business Partner (LRO BP) and strategic advisor to ADI's Software and Digital Platforms (SDP) business unit, Analog Garage, and Technology Strategy Board (together, the designated organizations). This LRO BP role is based at ADI's Corporate Headquarters in Wilmington, MA, reporting directly to ADI's Regional General Counsel. This role has primary responsibility for all legal matters impacting the designated organizations. In supporting these organizations, in addition to the Regional General Counsel, the LRO BP will work in close partnership with ADI's General Counsel, Head of Intellectual Property (IP) and other LRO experts and functions on all legal matters impacting these organizations. The LRO BP will partner closely with business leadership in the designated organizations to implement strategies, including LRO strategies, effectively and in a manner that supports and drives the designated organizations' strategic and growth objectives. Primary Duties and Responsibilities: The LRO BP will have an in-depth understanding of the business, risks and opportunities of the designated organizations, and be capable of advising these organizations and their senior leadership regarding the same on a regular basis. The LRO BP will also have the depth and breadth of skills and experience needed to have primary responsibility over the following matters: Key Responsibilities:
  • Serve as key business partner to the designated organizations to identify and mitigate legal risk and provide legal and regulatory advise on a broad range of issues affecting the designated organizations including corporate transactions, intellectual property, licensing, research projects, university collaborations, AI collaboration hubs, commercial and procurement support, employment matters, compliance with policies, among others
  • Serve as an accountable, strategic business partner to the leadership of the designated organizations, providing actionable advice that can be swiftly incorporated into risk-based, strategic decisions
  • Support contract negotiations with key customers and partners with particular focus on software, AI and related research & development
  • Assist in negotiations with startups, academic labs, and innovation partners supporting ADI's Emergent AI initiatives, including for example pilot contracts, proof-of-concept arrangements, and joint development agreements. Help develop frameworks for joint IP creation, cross-licensing, and novel compute ownership models.
  • Perform special projects and support continuous improvement of LRO department standard work, knowledge management, and processes as related to the designated organizations
  • Provide timely and accurate interpretations of the various laws and regulations affecting the company's business to leadership and operating personnel of the designated organizations; keeping them apprised of the types of actions that require consideration and providing internal guidance regarding potential legal and risk issues
  • Keep the Regional General Counsel apprised of the designated organizations' strategy and related activities, as well as ongoing and emerging legal, regulatory and risk topics impacting these organizations
  • Craft and review legal strategy in response to any litigation impacting these organizations, in partnership with the Regional General Counsel and ADI's Head of Dispute Resolution Qualifications:
    • Juris Doctor and license to practice of law in at least one U.S. jurisdiction
    • 10+ years' experience, ideally with a mix of in-house and top tier law firm work
    • Significant experience in intellectual property laws and evolving regulation of AI across jurisdictions, and in negotiating and supporting technology and software licensing transactions required
    • Ability to develop and maintain collaborative relationships with peers and colleagues across the organization, as well as with internal and external clients
    • Experience working in a fast-paced environment, with a history of advising in real-time in meetings, including to executive leadership team, providing accurate guidance and pragmatic solutions
    • Ability to lead special projects and coordinate with other attorneys and clients to accomplish ADI goals
    • Strong analytical, prioritizing, interpersonal, problem-solving, presentation, budgeting, project management (from conception to completion) and planning skills
    • Strong verbal and written communication skills (including analysis, interpretation, and reasoning) and executive presence
    • Ability to travel, as needed, both in the US and internationally
    • High degree of systems proficiency (including AI productivity tools and MS Office Suite) For positions requiring access to technical data, Analog Devices, Inc. may have to obtain export licensing approval from the U.S. Department of Commerce - Bureau of Industry and Security and/or the U.S. Department of State - Directorate of Defense Trade Controls. Job Req Type: Experienced Required Travel: Yes, 10% of the time Shift Type: 1st Shift/Days The expected wage range for a new hire into this position is $190,000 to $261,250.
