At its core, it is programmed to support our partners through advertising and marketing that spans campaigns, content, social, public relations, and physical and virtual experiences. The Robot Company is based in New York City, with requirements to be onsite twice a week (Mondays and Wednesdays) per the Company's policy.ROLE OVERVIEW: The Senior Business Affairs Manager is a key player in supporting creative development and integrated productions across various mediums. This role requires a team player with a creative mindset, the ability to thrive in a fast-paced environment, and extensive knowledge of the contracts, production, clearance & client processes.REPORTS TO: SVP, Business & Legal Affairs / Executive Producer (Robot)RESPONSIBILITIES:Creative, Account & Production:
    • Work closely with production, creative, and account teams during the ideation and pre-production process to call out specific areas of susceptibility
    • Provide guidance and be an expert on client guidelines, MSAs, advertising standards, clearances, and regulations. Know all the ins and outs of specific client or category marketing sensitivities (e.g., rules around showcasing those under 18 holding or interacting with the product, specific requirements around celeb BTS capture and dissemination, or the FTC regulations and restrictions on sponsored social content)
    • Estimate talent session and usage fees, and manage the talent cycle, including contracts and payments
    • Review bidding documents, and finalize client estimates
    • Issue award documents, including vendor agreements, production services agreements, insurance, licensing, and talent agreements
    • Work with insurance and risk management to address production and contract challenges
    • Collaborate with producers and finance on reconciling budgets and closing projects
    • Travel for production supervision might be required for some productions
Legal, Contracts, and Finance:
    • Work closely with TSHC Business & Legal Affairs (including, clearance manager) to maintain consistent standard practices & company policies, including trademark searches, contract drafting & negotiations, and resolving clearance challenges to mitigate any potential risks.
    • Draft and negotiate third-party agreements, including celebrity talent contracts, production services agreements, vendor agreements, location agreements, music license agreements, and talent services agreements
    • Oversee third-party rights and clearances; Prepare material releases (for still images, footage, artwork, etc.) and appearance releases.
    • Review all rental agreements (i.e., cameras, lights, props, trucks, etc.).
    • Work closely with production and finance to ensure all payments to vendors, talent, licensees, etc. are handled and tracked promptly and efficiently. (Note, this is not a finance position. This role will work with the necessary departments to make sure payments are made and tracked appropriately.)
    • Manage all vendor and talent contracts for every project, regardless of medium. This would include working with finance to ensure talent is paid on time. Should a production fall within any union jurisdiction, BA would also follow all necessary protocols associated with said union (including residual and P&H payments). Advise on SAG-AFTRA, AFM agreements.
    • Talent contract & payment tracking including usage rights, renewal dates, and deal points tracking.
QUALIFICATIONS:
    • 6+ years' experience in an advertising agency business affairs role. (This is an imperative, non-negotiable qualification.)
    • Expertise in global production and best practices for clients and brands.
    • Proficient in production for broadcast, digital, print, and experiential. Extensive knowledge reviewing creative work for legal risk assessment and assessing risk and working closely with legal, IP clearance.
    • Someone with a passion for fostering creativity within teams.
    • Expert in contract negotiations and talent tracking for PSA, Music and Production Agreements, Talent contracts (union/non-union), celebrity and influencer negotiations, and partnership marketing agreements.
    • Proficient knowledge of union productions (i.e., SAG/AFTRA, DGA).
    • Attention to detail with the ability to manage multiple projects simultaneously.
    • Strong communication and interpersonal skills.
