Rokt issues equity to all employees in the company and has done so since the company's inception. Rokt's equity incentive program includes various forms of awards, including incentive stock options, non-qualified stock options, RSUs, RSUs with loans, and performance based awards. While you will have direct ownership of the Shareworks equity platform and the administration of the awards, you will also work closely within a working group composed of our Legal and People teams to ensure alignment of our awards with our goals for our equity program. We have historically used Carta, but are in the final stages of a transition to Shareworks as our equity management platform.RequirementsAbout the role{{{{:}}}}
  • Own the Shareworks platform and equity administration function, providing a great Rokt'Star user experience and ensuring the timeliness and accuracy of all data.
  • Administer grants, exercises, cancellations, vesting pauses and adjustments in a timely and accurate manner.
  • Support the process for grants, the Rokt Cap Table, annual refresh grant process and future liquidity events (potential secondary rounds, capital raisings, and IPO) by providing relevant information
  • Manage questions from grantees, liaising with the People, Legal and Accounting team as needed
  • Assist with the development and delivery of employee education and communications regarding Rokt's equity plans. Coordinate with the Rokt Tax Team for a FAQ on tax considerations.
  • Work closely with the Accounting team which maintains the Shareworks accounting module to ensure information is accurate and timely to support recording stock-based compensation expense, financial statement disclosures and earnings per share calculations. Support annual audit activity
  • Partner with the People team to implement end-to-end processes and improvements to ensure compliance with Rokt's Career Ladder and Employee Handbook
  • Collaborate with Rokt's Legal to ensure award terms are accurately reflected in Shareworks. In addition, provide Legal with information on shares available for grant under the various plans to ensure the awards process functions efficiently.
  • Collaborate with the Payroll team to ensure equity transactions are reflected timely and accurately in accordance with tax regulations. This includes reporting on earnings statements as well as annual tax filings, such as Form 3921 reporting for ISO exercises in the US. Support the preparation of similar reporting for Rokt'Stars in foreign countries.
  • Stay in touch with trends and developments in equity awards and socialize with the equity working group to ensure Rokt's equity plans are competitive and attractive

  • 4+ years of experience in Equity Administration in a global business
  • Experience with plans which offer a variety of awards, including both options, and RSUs and performance based awards programs
  • 2+ years of eExperience using Shareworks, but experience with Carta or similar would suffice
  • Familiarity with tax regulations in the US and foreign jurisdictionsfederal and state taxation relating to equity compensation
  • Familiarity with international tax law relating to equity programs
  • Bachelor's Degree in Finance, Accounting, Business, or a related field
  • Ability to work in fast-paced teams and work cross-functionally with senior leadership in Finance, People, and Legal teams
  • Ability to explain numbers in easy-to-understand formats to employees and executives
  • Strong project management/ownership skills and excellent attention to detail
