The Corporate Counsel and Director of Risk Management (CC) will report to the Chief Financial Officer (CFO). This role involves a broad range of responsibilities, including contract review and negotiation (customer contracts and subcontracts), risk management (submitting and managing insurance claims), dispute resolution, managing all legal actions and associated risks, and ensuring compliance with construction and other relevant laws. Corporate Counsel acts as a strategic advisor to the Senior Leadership Team (SLT), helping the company navigate legal complexities in the construction industry and mitigate potential risks.

In addition, the CC drives a culture of legal literacy, risk awareness and mitigation strategies, and contract adherence and accountability The CC works within the Shared Services Division serving and guiding our 20 operating divisions on all matters of legal culture and individual actions.

What You'll Do:

  • Contract Review and Negotiation | Reviewing and negotiating customer and subcontractor construction contracts (and other business contracts) ensuring the company's interests are protected.
  • Risk Management | Identifying and assessing legal risks associated with construction projects, developing strategies to mitigate those risks, and advising on and administering insurance coverage and other risk management tools.
  • Dispute Resolution | Assisting with the resolution of construction disputes, including claims analysis, negotiation, and potentially litigation or arbitration, working with outside counsel as needed.
  • Compliance | Ensuring the company complies with all applicable laws and regulations, including those related to construction, labor, environmental, and safety.
  • Legal Advice | Providing legal advice and counsel to various departments within the company, including project management, procurement, and finance, on a wide range of legal matters related to construction.
  • Training and Development | Developing and delivering legal training to company employees on relevant legal topics, such as contract law, risk management, and compliance.
  • Litigation Management | Managing and overseeing construction-related litigation, including selection and management of outside counsel, conducting discovery, and participating in depositions, mediations, and trials. Also, negotiating with outside counsel for efficient representation and approving legal bills.
  • Policy Development | Assisting in the developing and implementing company policies and procedures to ensure legal compliance and best practices.

What You Bring:

  • Juris Doctor (JD) degree from an accredited law school.
  • Admission to the bar in the relevant jurisdiction (e.g., the state where the company operates).
  • Strong knowledge of construction law, contract law, and related areas.
  • Experience in construction-related litigation, dispute resolution, and risk management.
  • Excellent communication, negotiation, and problem-solving skills. Recognize and respond appropriately to levels of urgency. Successfully handles requirements from multiple departments, teams, and individuals maintaining discretion in sensitive matters always with a high level of confidentiality.
