He or she will focus on corporate affairs and governance including entity management and other general corporate matters . The ideal candidate has experience working for a top law firm with some prior in-house experience being ideal , but not mandatory . This position is suited for an attorney who is adaptable, collaborative, and capable of managing multiple legal projects effectively. This position will report to the Vice President , Deputy General Counsel- Corporate & NA Commercial Contracts.Responsibilities

• Assist in maintaining corporate records, drafting corporate resolutions, ensuring compliance with applicable laws, regulations, and company policies.
• Oversee all aspects of entity management for US and international entities.
• Assist with M &A transactions and other corporate projects or transactions as needed .
• Contribute to the development and implementation of policies and processes to improve legal efficiency and minimize risk.
• Research and advise on d iverse legal issues, including employment, intellectual property, and contract s matters.

Qualifications

• Juris Doctor (JD) degree from an accredited law school
• Admission to a state bar and in good standing
• 2 – 3 years of experience practicing corporate and transactional law
• Excellent written and verbal communication skills
• Detail-oriented with strong analytical and problem-solving abilities
• Ability to work independently and as part of a team
• Proficiency in Microsoft Office Suite and contract management software
