Managing Director, Investment Banking - Software / M&A
We are seeking a highly motivated and experienced Managing Director (MD) to lead our investment banking practice focused on M&A for the Application and Vertical Software sectors. This senior leadership role is responsible for driving the origination and execution of sell-side and buy-side M&A advisory services for middle-market companies. The ideal candidate is a seasoned dealmaker with a deep network and a profound understanding of the business models, market dynamics, and valuation drivers unique to Software-as-a-Service (SaaS), enterprise application, and vertical-specific software companies.
This role involves leading the investment banking practice with a focus on M&A activities, ensuring successful deal origination and execution
Responsibilities
- Business Origination: Proactively source M&A opportunities by leveraging an extensive network of founders, executives, private equity investors, and venture capitalists within the application and vertical software ecosystem. Key verticals include, but are not limited to:
- Horizontal Applications: CRM, ERP, HCM, Marketing Automation, Collaboration Tools
- Vertical-Specific Software: FinTech, HealthTech, PropTech, EdTech, LegalTech, InsurTech, and other industry-specific solutions
- Deal Execution & Advisory: Serve as the lead advisor to clients, providing expert guidance on strategic positioning, valuation, deal structuring, and negotiation. You will manage the entire transaction lifecycle, from initial pitch and due diligence through to a successful closing
- Leadership & Mentorship: Lead and manage deal teams comprised of Vice Presidents, Associates, and Analysts. Foster a collaborative environment, ensure the highest quality of work product, and mentor junior bankers for professional growth
- Thought Leadership: Act as a subject matter expert. Represent the firm at industry conferences, publish insightful content, and maintain a strong understanding of emerging trends, M&A activity, and KPIs relevant to the sector
Qualifications
- Experience: A minimum of 10-15 years of investment banking experience with a direct and proven track record of originating and closing M&A transactions in the application or vertical software space
- Network: An established, high-quality network of relationships with key decision-makers at software companies and financial sponsor firms
- Industry Expertise: Deep fluency in the nuances of SaaS and application software business models.
- Technical Skills: Superior financial modeling, valuation, and analytical skills. Expertise in structuring complex transactions is essential
- Credentials: Bachelors degree is required; an MBA from a leading institution is strongly preferred. FINRA Series 79 and 63 licenses are mandatory
- Personal Attributes: A self-starter with an entrepreneurial spirit, exceptional communication and negotiation skills, and a strong client-service mindset
