This is a fully-remote, senior-level, in-house Legal Counsel position that will be primarily responsible for drafting and negotiating complex commercial contracts, providing legal support with Toptal's enterprise clients, and assisting with strategic transactions including mergers and acquisitions. The Senior Corporate Counsel will have working familiarity with data privacy (GDPR, CCPA) and related areas to support existing and new Enterprise clients. This position involves substantial cross-team collaboration. This is a remote position; applicants must reside within the US. We do not offer visa sponsorship or assistance. Responsibilities
- Draft and negotiate complex commercial contracts and support Enterprise clients.
- Assist with strategic transactions, including mergers and acquisitions.
- Provide guidance on data privacy issues (GDPR, CCPA) and related legal areas to support enterprise engagements.
- Collaborate across cross-functional teams and maintain strong client relationships while protecting Toptal's legal and business interests.
- Develop and review commercial contracting processes, guidelines, and procedures.
- Maintain a client-facing role, with collaboration across functional areas and limited direct people management responsibility.
Qualifications and Job Requirements
- Bachelor's degree is required.
- Admission to a U.S. State or the District of Columbia bar.
- Minimum of 7 years of experience in both law firm and corporate settings.
- Experience structuring and advising on complex transactions, including master service agreements, statements of work, NDAs, licensing agreements, and partnership agreements.
- Strong experience negotiating and drafting commercial contracts.
- Strong experience in mergers and acquisitions.
- Experience advising on data protection and privacy laws globally, negotiating privacy-related agreements, and providing actionable guidance on the data privacy landscape.
- Excellent customer service, interpersonal, and organizational skills.
- Ability to quickly master and integrate legal, business, technical, and practical analysis.
- Attention to detail with strong business judgment and creative problem-solving.
