Location:
Duties:
- Provide legal counsel on corporate governance, mergers and acquisitions (M&A), securities, and finance matters
- Draft, review, and negotiate transactional documents, including contracts, agreements, and financing documents
- Advise clients on fund formation and related finance matters
- Guide clients on securities compliance and regulatory issues, including public offerings and private placements
- Conduct legal research and provide strategic insights on corporate and securities law
- Represent clients in negotiations, due diligence processes, and closings
- Collaborate with senior attorneys and team members to handle complex transactions
Requirements:
- 3+ years of experience in corporate law, mergers and acquisitions (M&A), fund formation, finance, or securities
- Strong understanding of corporate and securities regulations
- Experience in drafting and negotiating transactional documents
- Excellent written and verbal communication skills
- Strong academic credentials
- Ability to manage multiple priorities and meet deadlines
- Applicable bar admission in one of the specified jurisdictions
Education:
- Juris Doctor (JD) from an accredited law school
Certifications:
- Admission to practice law in Florida
Skills:
