We are seeking a highly skilled and experienced Mergers and Acquisitions Attorney to join our client, a major pharmaceutical company. The person in this position will assist with the company's strategic growth through domestic and international acquisitions, divestitures, joint ventures, and strategic partnerships in the pharmaceutical and life sciences sector. This role will work closely with the executive leadership, business development, finance, regulatory, and compliance teams to lead legal due diligence, negotiate deal terms, and manage post-transaction integration efforts. The position is a hybrid work arrangement.

Key Responsibilities:

• Lead and manage all legal aspects of M&A transactions, including structuring, due diligence, negotiation, drafting, and closing.
• Draft, review, and negotiate term sheets, letters of intent, stock and asset purchase agreements, joint venture agreements, and related documentation.
• Coordinate with internal stakeholders (e.g., regulatory, IP, tax, antitrust, compliance) to ensure transactions align with business goals and legal risk profiles.
• Manage outside counsel on transaction-related matters and supervise legal spend.
• Monitor and advise on legal developments and trends in the M&A and pharmaceutical regulatory landscape.
• Assist with corporate governance.
• Support business development teams in evaluating new acquisition targets and strategic partnerships.

Qualifications:

• J.D. from an accredited law school; admitted to practice law in New York
• 4–6 years of relevant experience in M&A law, with a strong background in the pharmaceutical, biotech, or life sciences sector.
• Experience from in-house legal departments and/or top-tier law firms preferred.
